Officer Duties & Election Rules

If you are interested in running for office this year, here are the general duties of each position and the election rules as stated in the bylaws:

Duties

Officers are required to perform the duties prescribed by these Bylaws and shall be responsible for managing the day to day business of FPBC subject to the direction of the Board of Directors, which duties shall include the following:

 

A. President. The President shall:

1. Serve as the chief operating officer of FPBC and have general and active management of the business affairs of FPBC subject to the direction of the Board of Directors.

2. Preside over all general meetings of the Members and meetings of the Officers, and at such meetings decide all points of order and enforce all rules as set forth by these Bylaws.

3. Serve as the FPBC representative to the Executive Council of the National Hockey League Booster Club, Inc.

4. Appoint chairpersons to all committees and be ex officio member of all committees during his/her term of office.

5. Serve as the primary contact with Florida Panthers Hockey Club, Inc. and its board of directors.

6. Represent FPBC at any official function when his/her presence is required.

7. Possess signatory authority over FPBC's finances.

8. Be responsible for editing the official FPBC newsletter with regard to content and form.

9. Participate in the preparation of FPBC's budget.

10. Approve all FPBC expenditures up to $100.00.

B. Vice President. The Vice President shall:

1. Have all duties normally performed by the President when the President is unable or unavailable to act. Otherwise, his/her duties shall be subject to the direction of the President and the Board of Directors.

2. Preside as chairperson of the FPBC membership drive committee if and when formed in accordance with these Bylaws.

3. Serve as chairperson of the Election Committee (hereinafter defined) and preside over the election process and perform such functions as are necessary to facilitate the election process.

4. Participate in the preparation of FPBC's budget.

C. Treasurer. The Treasurer shall:

1. Have custody of, and maintain, all FPBC funds and financial records.

2. Keep full and accurate accounts of FPBC receipts and disbursements and render accounts thereof at the meetings of the Members, Officers and the Board of Directors.

3. Perform such other duties as may be prescribed by the Board of Directors or the President.

4. Have signatory authority over FPBC's finances.

5. Participate in the preparation of FPBC's annual budget.

D. Secretary. The Secretary shall:

1. Have custody of, and maintain, all of FPBC's records, except the financial records.

2. Record the minutes of all FPBC meetings, including meetings of the Members, the Officers and the Board of Directors.

3. Send out notices of all FPBC meetings.

4. Perform such other duties as may be prescribed by the Board of Directors or the President.

5. Have custody of and keep on file all FPBC committee reports, copies of FPBC newsletters, and minutes of FPBC meetings.

6. Maintain and have readily available a copy of the Bylaws of FPBC.

7. Notify the Board of Directors of all meetings, regular and special, and send a copy of all the minutes to each meeting of the Board of Directors.

8. Be responsible for preparing and furnishing Members with a written agenda of each meeting of the Members prior to the start of the meeting.

9. Be responsible for preparing and distributing voting ballots for awards as outlined in article X

10. Keep a record of all Members in attendance at any meeting.

Election, Term and Eligibility

At each Election Meeting (as herein defined), the Members shall elect Officers to hold office until the next succeeding Election Meeting. Officers shall be elected by majority number of votes of all eligible voting Members. Each Officer shall hold office for the term for which he/she is elected and until his/her successor shall have been elected and qualified or until his/her earlier resignation, removal from office or death. A Member shall not hold two or more offices simultaneously. Members cannot run for office during the same year that they first joined FPBC.  Nominated members must be active Members in good standing; they must have renewed their membership prior to being nominated with no refund, and be at least twenty-five years of age upon assuming the office.

 

Nominations

Only active members of the current year can nominate someone for office.  All nominees for the position of Officer shall meet the eligibility requirements for holding office and must be active members of the current year. A Member may be nominated for more than one office but may only accept a nomination for one office. Incumbent Officers automatically shall be re-nominated for the office they then currently hold, provided the meet the eligibility requirements. Nominees shall state their acceptance or rejection of the nomination at the designated Nomination Meeting (hereinafter defined).

 

Election Process

The Board of Directors shall appoint an election committee ("Election Committee") to oversee the election process. The duties of the Election Committee shall include, without limitation (a) duly notifying all Members eligible to vote of the nomination and election process, (b) conducting elections, (c) distributing, tallying and recording ballots, and (d) announcing election results. Members of the Election Committee who accept a nomination for office shall disqualify themselves from ballot counting, and if all members of the Election Committee are so disqualified, the Vice President shall appoint as pro tem ballot counter at least one Member who has not accepted a nomination. Voting shall be by secret ballot, and may be cast by absentee ballot by eligible Members who are 18 years of age or older, and who timely request an absentee ballot form; or they may vote via on-line ballot form and deliver to the Vice President a duly completed and executed ballot prior to the Election Meeting. The President shall cast a vote for each office (except for the office of President if he/she is an eligible nominee for such office) and submit his/her ballot to the chairperson of the Election Committee, which ballot shall be counted only in the event of a tie. If the President is an eligible nominee for re-election for the office of presidency, then the Vice President shall cast a vote for the office of presidency, which shall only be counted in the event of a tie vote for such office.

Vote wisely! It is important that we chose a leaders that are competent and that can lead us to a better club. They must also be leaders that we can be proud of. - It is important that we chose a leader that is competent and that can lead us to a better nation.
